With over twelve years of experience, Melissa specializes in providing M&A tax services to middle market private equity firms, with deal experience ranging from $5M to over $2B. She leads tax due diligence and transaction structuring projects across a wide range of industries, with a particular focus in the healthcare sector, as well as the software/technology sector. Melissa advises both buyers and sellers on the quantification of tax attributes generated or inherited in transactions, including net operating losses and goodwill, and Section 1202 Qualified Small Business Stock analysis, including eligibility assessments and strategic planning for founders, investors, and acquirers.
Melissa has advised public and private “loss” companies (both pre- and post-bankruptcy) on the viability of their tax attributes including Section 382 analyses, the effect of debt discharge income, and the application of the consolidated return rules. She also has experience in cross-border transactions including IP and supply chain planning, debt capacity and domiciliation analysis, and integration strategies for both private and public companies.
Prior to joining Elliott Davis, Melissa was a senior director with Alvarez & Marsal.
